Corporate governance refers to the system of rules, practices, and processes by which a company is directed and controlled. IPCOM believes that a good corporate governance system is built on the principles of responsibility, accountability, awareness, impartiality and transparency. 

It is a necessary condition to ensure long-term success, for maintaining investor confidence, attracting capital, and fostering trust with stakeholders. Good corporate governance  contributes to the company's reputation, competitiveness, and ability to create value sustainably over time.

In our ever-evolving corporate governance landscape, effective risk management has become indispensable in fostering sustainable organizational growth and success. It implies an effective decision-making process based on a clear allocation of responsibilities. It has to allow for an optimal balance between a culture of entrepreneurship at the level of our business units and local companies and an effective steering and oversight process.

Gifts & Hospitality

Our organisation, and we as individuals, must not seek advantage by giving or accepting any gifts, entertainment or payments that may be perceived as inappropriate. Our Compliance, Integrity, Anti-Fraud and Anti-Corruption Policy underscores the belief that our relationships should not be influenced by inappropriate gestures, gifts or hospitality. We expect our staff to act with integrity and in line with our Compliance Policy. 

Bribery & Corruption

Fraud, corruption and other criminal conducts must be viewed as illegal and present a threat to IPCOM and its interests. It is IPCOM’s policy to comply fully with all relevant laws, regulatory requirements and applicable codes in the countries in which it operates – including anti-fraud and anti-corruption legislation. Each and every one must act in accordance with the highest ethical standards, conduct business fairly and honestly, and avoid illegality.

Through our IPCOM Sanctions Policy and Procedure, we want to ensure full compliance with all international sanctions laws and regulations. This policy outlines the company's approach to conducting business in accordance with restrictions imposed on specific individuals, entities, or countries by governmental bodies or international organizations.

Fair-Competition

We believe in fair competition and thus refuse to enter into unlawful discussions or agreements with competitors concerning pricing, market sharing, or other similar activities. Our policies prohibit any conduct which would even give the appearance of unfair dealings. Anti-competitive behaviour and unfair business practices harm businesses and consumers. We do not tolerate these practices and require from everyone in the group to act at all times in accordance with the law and our code of conduct. 

Conflicts of Interest

IPCOM depends on its employees and partners to act in its best interests at all times. A conflict of interest is any personal interest interfering with an individual's professional duties or responsibilities. In addition to potentially leading to bad business decisions, conflicts of interest can lead to loss of trust with customers, consumers and other stakeholders. Any employee who becomes aware of a potential conflict of interest must immediately notify local management or the IPCOM Compliance Officer.

Information Security

Information security is fundamental to our operations as a business. We must always protect information and keep it safe and secure. 

IPCOM has built a fit-for-purpose framework that is based on the National Institute of Standards and Technology (NIST) framework and is required to be followed by all IPCOM locations.  The IPCOM group has made increased investments in advanced endpoint protection software, vulnerability scanning, backup and recovery mechanisms, etc. at all its locations. We recognize that cyber risks continue to evolve, and we are taking appropriate actions to mitigate it.

With our cyber awareness program we aim to educate all employees on current cyber threats. We treat our workforce as front-line defenders and support them in building the skills and habits to protect IPCOM’s information assets through phishing simulations and regular short trainings on topics such as phishing and data protection.

Together, the corporate cybersecurity team and the local companies engage in improvement projects to further enhance IPCOM's protection against possible cyber breaches.
